These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "User", "you") and TrickyLaw Legal LLP, a limited liability partnership registered under the Limited Liability Partnership Act, 2008, having its registered office at [Your Registered Office Address] ("TrickyLaw", "we", "us", "our").

By accessing our website at gem.trickylaw.com, submitting a consultation request, making a payment, or engaging our services in any manner, you confirm that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and our Refund Policy.

If you do not agree with any part of these Terms, please discontinue use of our services immediately.

  • Vendor assessment and brand approval support
  • Bid and tender consultancy
  • MSME / Udyam registration support
  • Profile updates and renewals
  • Related legal advisory and compliance services

Our services are advisory in nature. We assist clients with documentation, application filing, strategic guidance, and compliance — but the final approval, rejection, or any action taken by government portals or authorities is entirely at their discretion.

TrickyLaw Legal LLP is a private legal consultancy firm. We are NOT affiliated with, endorsed by, owned by, or connected to the Government of India, the Government e-Marketplace (gem.gov.in), the Ministry of MSME, or any other governmental body, ministry, department, or authority.

The official Government e-Marketplace portal is https://gem.gov.in, where:

  • Seller registration is provided free of cost by the Government of India.
  • You can register directly without any third-party assistance.
  • All official information and policies are published.

The fees you pay to TrickyLaw are exclusively for our professional consultancy services — including but not limited to: legal expertise, documentation preparation, application filing assistance, strategic advice, time invested, and ongoing support.

04.User Eligibility

To use our services, you must:

  • Be at least 18 years of age and legally competent to enter into contracts under Indian law.
  • Have a valid Indian business entity (proprietorship, partnership, LLP, private limited, public limited, or HUF).
  • Provide accurate, current, and complete information.
  • Have the authority to engage TrickyLaw on behalf of the business entity you represent.

We reserve the right to refuse service to anyone who does not meet these eligibility criteria.

05.Your Obligations

As a Client, you agree to:

  1. Provide accurate information: All documents, business details, and information you provide must be true, current, and genuine. Submitting forged or false documents may result in service termination without refund and possible legal action.
  2. Cooperate timely: Respond to our requests for documents, clarifications, or approvals within the timelines we communicate.
  3. Make timely payments: Pay agreed consultancy fees as per the payment schedule.
  4. Maintain credentials: Keep your account credentials, OTPs, and access codes confidential. Do not share them via insecure channels.
  5. Comply with applicable laws: Ensure your business operations comply with all applicable Indian laws including GST, income tax, labour laws, and product-specific regulations.
  6. Indemnify us: Hold TrickyLaw harmless from any consequences arising from incorrect, incomplete, or fraudulent information provided by you.

06.Fees & Payment

A. Pricing

Our service charges are listed on our website pricing page and are exclusively our professional consultancy fees. Prices are quoted in Indian Rupees (₹) and are inclusive of applicable GST unless specified otherwise.

B. Payment Methods

We accept payments through:

  • Razorpay-powered online payment gateway (credit/debit cards, net banking, UPI, wallets)
  • Direct bank transfer (NEFT / RTGS / IMPS) — for invoices above ₹50,000
  • UPI to our registered business UPI ID

We do not accept cash payments, cryptocurrency, or third-party / friend account transfers.

C. Invoicing

A GST-compliant tax invoice is issued via email within 48 hours of successful payment. Please ensure your GSTIN (if applicable) is provided correctly before payment.

D. Service Commencement

Work on your engagement begins only after we receive cleared payment (full or first installment as per the agreed plan).

Important

Government portals (including gem.gov.in) do not charge any registration fee. Our fees are entirely for our professional consultancy services. By making payment, you acknowledge that you understand this clearly.

07.Service Delivery & Timelines

Estimated service delivery timelines:

  • Basic registration: 5–7 working days after receiving complete documents
  • Catalog listing: 3–5 working days after registration approval
  • Brand approval: 10–25 working days (subject to government processing)
  • Vendor Assessment: 30–45 working days

These are indicative timelines based on typical cases. Actual timelines may vary due to:

  • Government portal processing times (outside our control)
  • Document corrections or additional verifications required
  • Holidays, technical downtime, policy changes
  • Delays from your end in providing documents or approvals

We provide regular status updates via email/WhatsApp and a dedicated relationship manager for Growth and Premium plan clients.

08.No Guarantee of Approval or Outcome

Critical Notice

While we apply our best professional skill and care, we do not and cannot guarantee approval of any government registration, tender win, or specific outcome. Final decisions rest entirely with the relevant government authorities and portals.

Our commitment is to provide diligent professional consultancy. We do not promise:

  • Guaranteed registration approval on first attempt
  • Specific timelines beyond our control
  • Tender wins or specific revenue outcomes
  • Specific bid acceptance

However, if registration fails due to our error or negligence, you are entitled to a full refund as per our Refund Policy.

09.Intellectual Property

All content on this website — including text, graphics, logos, icons, images, documents, software, and any other material — is the property of TrickyLaw Legal LLP or its licensors, and is protected by Indian and international copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, create derivative works, publicly display, or commercially exploit our content without prior written permission.

Limited personal, non-commercial use of website content is permitted solely for evaluating our services.

10.Third-Party Services & Links

Engagement with third-party services is governed by their respective terms and policies, not ours.

11.Confidentiality

We treat all client information and documents as strictly confidential. Our consultants and staff sign non-disclosure agreements before accessing client data.

Information shared during our engagement will not be disclosed to any third party except:

  • To authorized partners necessary for service delivery (under NDA)
  • To government authorities where required by law
  • In response to valid court orders or legal process
  • With your explicit written consent

This obligation survives termination of our engagement.

12.Limitation of Liability

To the maximum extent permitted by law:

  • TrickyLaw's total cumulative liability for any claim arising from our services shall be limited to the total consultancy fees paid by you for the specific service from which the claim arose.
  • We are not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages — including loss of profits, revenue, business, goodwill, data, or tender opportunities.
  • We are not liable for losses arising from government policy changes, portal downtime, or actions of government authorities.
  • We are not liable for losses arising from inaccurate information provided by you.

13.Indemnification

You agree to indemnify, defend, and hold harmless TrickyLaw Legal LLP, its partners, employees, agents, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your breach of these Terms
  • Your violation of any law, regulation, or third-party rights
  • Inaccurate, false, or misleading information provided by you
  • Your use of our services in a manner not authorized by these Terms

14.Termination of Engagement

A. By You

You may terminate our engagement at any time by sending written notice to hello@trickylaw.com. Refund eligibility upon termination is governed by our Refund Policy.

B. By Us

We may suspend or terminate services with immediate effect if:

  • You provide false, forged, or misleading documents or information
  • You fail to make payments as agreed
  • You engage in fraudulent, abusive, or unlawful conduct
  • Continued service would violate any law or regulation
  • You breach these Terms materially

In case of termination by us due to your breach, no refund is payable.

15.Force Majeure

We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, regulatory changes, internet/electricity outages, cyber-attacks, war, terrorism, civil unrest, strikes, or other force majeure events.

16.Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of India, without reference to its conflict-of-laws principles.

17.Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or in connection with these Terms:

  1. Step 1 — Negotiation: The parties shall first attempt to resolve the dispute amicably through good-faith negotiation for a period of 30 days.
  2. Step 2 — Mediation: If unresolved, the parties shall attempt mediation through a mutually agreed mediator.
  3. Step 3 — Arbitration: If still unresolved, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be [Your City], India, and the language shall be English.

Subject to arbitration, the courts at [Your City], India shall have exclusive jurisdiction.

18.Modifications to These Terms
